REVIVA - HOST AGREEMENT

Booking Conditions

Draft version, April 2026. Subject to change.

These Booking Conditions govern the agreement between Reviva (operated by Invest Reviva Ltd, company number 15596896, registered in England) and the Host Organiser named in the booking confirmation. They apply to all exclusive-hire bookings at Reviva, Valencia, Spain.

By confirming a booking, the Host Organiser accepts these conditions in full and accepts responsibility for communicating Reviva's Property Rules to all participants attending their retreat.

These conditions do not apply between Reviva and individual end guests. A separate Guest Property Rules document governs the conduct of participants on site.

1. Definitions

Reviva: the exclusive-hire retreat venue operated by Invest Reviva Ltd.

Host Organiser (the Host): the business or individual making the booking and responsible for the retreat programme and their participants.

Participants: the end guests attending the retreat organised by the Host.

Total Booking Value: the full sum payable by the Host for exclusive hire of the venue for the confirmed dates, inclusive of any agreed additional services.

Arrival Date: the first day of the confirmed booking period.

2. Making a Booking

All bookings begin with an enquiry submitted through Reviva's website or by email. Once availability is confirmed, Reviva will issue a provisional proposal outlining dates, scope of hire, and an estimated Total Booking Value.

A booking becomes confirmed only once the required deposit has been received and written confirmation has been issued by Reviva. Verbal agreements and provisional holds do not constitute a confirmed booking.

Reviva reserves the right to decline any booking enquiry at its sole discretion, including where it considers the proposed use of the venue to be unsuitable.

3. Payment Schedule

Initial Deposit

A non-refundable deposit of 25% of the Total Booking Value is required within 7 days of receiving written confirmation from Reviva to secure the booking.

Where the Arrival Date is less than 6 months from the date of confirmation, the deposit increases to 50% of the Total Booking Value, payable within 7 days.

Second Instalment

A further 25% of the Total Booking Value is due no later than 6 months before the Arrival Date. This instalment applies only where the booking was confirmed more than 6 months before the Arrival Date.

Balance

The remaining balance is due 3 months before the Arrival Date.

Payment Method

All payments are to be made by euro bank transfer, net of all bank charges and transfer fees. Reviva will provide bank details upon confirmation.

If any payment is not received by the due date, Reviva reserves the right to cancel the booking and retain all sums received to that point. Interest may be charged at 3% above the Bank of England base rate for any period of late payment.

4. Revenue Model

Reviva collects all revenue from the retreat booking. The Host receives a commission calculated as a percentage of the Total Booking Value, as agreed separately in writing at the time of confirmation.

Commission is paid to the Host within 7 days of the conclusion of the retreat, subject to the deduction of any amounts owed to Reviva under these conditions, including any security deposit claims.

The Host is responsible for all commercial arrangements with their Participants, including the pricing of retreat places and the collection of payments from Participants. Reviva has no liability for any shortfall between amounts collected by the Host from Participants and the Total Booking Value owed to Reviva.

5. Cancellation by the Host

All cancellations must be made in writing to Reviva. The date of cancellation is the date on which written notice is received by Reviva.

The following charges apply:

  • More than 26 weeks before the Arrival Date: deposit retained. No further liability.

  • 13 to 26 weeks before the Arrival Date: 50% of the Total Booking Value is payable.

  • Less than 13 weeks before the Arrival Date: 100% of the Total Booking Value is payable.

Credits, date transfers, or variations to these terms will not be offered as a matter of course. Any exceptions are entirely at Reviva's discretion and will not be offered where the cancellation terms have already been triggered.

Hosts are strongly advised to hold appropriate cancellation insurance covering their Total Booking Value obligation. Reviva recommends not booking international travel for Participants more than 9 months before the Arrival Date.

6. Cancellation by Reviva

Reviva will only cancel a confirmed booking in exceptional circumstances beyond its reasonable control. In such circumstances, Reviva will offer either:

  • Alternative dates of equivalent value, or

  • A full refund of all sums received from the Host for the cancelled booking.

Such payment or alternative offer will be in full and final settlement of any claim arising from the cancellation. Reviva is not liable for any travel costs, loss of income, loss of profit, or other associated expenses incurred by the Host or their Participants as a result of a cancellation by Reviva.

7. Security Deposit

Reviva requires a security deposit of 20% of the Total Booking Value, subject to a minimum of €5,000 and a maximum of €15,000, rounded up to the nearest €1,000.

The security deposit is due by bank transfer no later than 14 days before the Arrival Date.

Reviva will notify the Host in writing within 10 working days of the departure date if it intends to make any claim against the security deposit. The security deposit, or any remainder after deductions, will be returned within 21 days of departure.

Grounds for retention of all or part of the security deposit include, without limitation: damage to the property, furnishings, equipment, or grounds beyond fair wear and tear; excessive cleaning requirements; loss of equipment; and any unpaid extras.

8. Guest Numbers and Room Allocation

Final confirmed guest numbers must be provided to Reviva no later than 6 weeks before the Arrival Date. Reviva reserves the right to adjust the Total Booking Value if the confirmed guest numbers differ materially from those indicated at the time of booking.

Room allocation will be agreed in advance. Only registered Participants are permitted to stay overnight at the property. The Host must not permit additional persons to stay at the property overnight without prior written agreement from Reviva.

9. Host Insurance Requirements

The following are contractual conditions of booking, not recommendations. The Host must hold, and must provide evidence of on request:

  • Public liability insurance covering all activities, classes, and programmes delivered on site.

  • Professional indemnity insurance appropriate to their discipline.

  • Employer's liability insurance if bringing employed staff on site.

The Host is responsible for ensuring all Participants hold appropriate personal travel and health insurance for the duration of their stay. Reviva accepts no liability for any failure by the Host or Participants to maintain adequate insurance.

10. Use of Facilities

All facilities, including the gym, studio, pool, spa and communal areas, are available for the exclusive use of the Host's group during the confirmed booking period.

The Host is responsible for ensuring all Participants use the facilities in a safe and responsible manner and in accordance with any operational guidelines provided by Reviva.

Pool use is subject to Reviva's Pool Safety Protocol, a copy of which will be provided to the Host in advance of arrival. The Host is responsible for communicating and enforcing pool safety rules with their Participants.

11. Pets

Pets are permitted at Reviva subject to the following conditions. The Host must declare any pets attending as part of the booking at the time of confirmation or as soon as the intention to bring pets becomes known. Reviva reserves the right to decline pets at its discretion.

The Host is responsible for the behaviour and welfare of all pets brought to the property by themselves or their Participants. Pets must be kept under control at all times, must not be permitted in the movement studio, gym, spa, or kitchen areas, and must not be left unattended in bedrooms or communal spaces for extended periods.

Any damage caused by pets will be treated in the same manner as damage caused by Participants and may result in deductions from the security deposit. Reviva accepts no liability for any injury, loss, or damage caused by or to any pet during the booking period.

The Host is responsible for informing all Participants in advance that pets may be present at the property during their retreat. It is the Host's responsibility to manage any conflict arising from Participant allergies or sensitivities to animals.

12. Allergies

The Host is responsible for communicating any known food allergies, dietary requirements, or other allergen sensitivities among their Participants to Reviva and to any catering supplier engaged for the retreat, no later than six weeks before the Arrival Date.

Reviva provides on-site catering as its primary offering. Where a Host chooses to engage a third-party caterer in place of or alongside Reviva's catering team, the Host must ensure that supplier is fully briefed on all relevant allergen information and complies with applicable food safety regulations. Reviva accepts no liability for any allergen incident arising from food prepared or supplied by a third-party caterer.

Where pets are attending the retreat, the Host must inform all Participants in advance and must take reasonable steps to manage any risk to Participants with known animal allergies. Reviva accepts no liability for any allergic reaction suffered by any Participant or guest in connection with a pet present at the property.

If any Participant carries an auto-injector or other emergency medication for a severe allergic reaction, the Host must ensure this is disclosed to the Reviva team on arrival.

13. Health, Safety and Emergency Procedures

Reviva maintains a stocked first aid kit on site at all times. Members of the Reviva team hold first aid training. However, Reviva staff may not be present on site at all times during a retreat. The Host is responsible for ensuring that appropriate first aid provision is available for their group throughout the booking period, including during any periods when Reviva staff are not on site.

Reviva will provide the Host with a written Emergency Procedures document prior to arrival. This document covers fire evacuation, medical emergencies, pool and spa emergencies, and key emergency contact numbers. The Host must read this document, ensure their retreat team is briefed on its contents, and keep it accessible throughout the booking period.

All accidents, injuries, or near-miss incidents occurring on the property must be reported to the Reviva team as soon as practicable, and no later than 24 hours after the incident. Reviva will maintain an incident log. The Host must cooperate fully with any incident recording process required by Reviva or by the relevant Spanish authorities.

In the event of a medical emergency, the Host or their team must call the Spanish emergency services on 112 immediately. The Reviva team must be notified as soon as possible thereafter.

Participants take part in all activities, classes, excursions, and use of facilities at their own risk. The Host is responsible for ensuring their retreat programme, activities, and use of facilities are appropriate for the fitness levels and health conditions of their Participants and conducted safely.

Reviva will not be liable to the Host or any Participant for any loss, damage, or injury suffered on site, howsoever caused, except in respect of death or personal injury caused by Reviva's own negligence or that of its staff. This is not intended to affect any mandatory rights under applicable law that cannot lawfully be excluded.

Reviva's total liability to the Host in connection with any booking shall in no event exceed the Total Booking Value paid by the Host for that booking.

Reviva will not be liable for any loss of profit, loss of business, loss of revenue, or loss of business opportunity suffered by the Host.

14. Conduct, Damage, and Care of the Property

The Host is responsible for the behaviour of all Participants, and any third-party suppliers or staff they bring to the property, throughout the booking period.

Any damage or loss caused during the stay may result in additional charges over and above the security deposit where the cost of damage exceeds the deposit held.

Reviva reserves the right to ask the Host and their group to vacate the property immediately and without refund if conduct is considered disrespectful to the property, the Reviva team, or the surrounding community.

No person on site may use, possess, or distribute illegal substances. This is grounds for immediate termination of the booking without refund.

15. Check-In and Check-Out

Check-in is from [insert time]. Check-out is by [insert time].

Early arrivals or late departures may be available on request, subject to availability and additional charges. These must be agreed in writing with Reviva no less than 14 days before the Arrival Date.

At the conclusion of the booking, the property must be left in the same condition as found on arrival. Failure to do so may result in additional cleaning or restocking charges being deducted from the security deposit.

16. Catering and Dietary Requirements

Catering arrangements must be confirmed no later than [insert timeframe] before the Arrival Date. Where the Host intends to engage a chef or catering team on site, this must be agreed in advance with Reviva.

The Host is responsible for communicating dietary requirements to their catering supplier. Reviva provides on-site catering as its primary offering. Where a Host chooses to engage a third-party caterer in place of or alongside Reviva's catering team, the Host must ensure that supplier is fully briefed on all relevant allergen information and complies with applicable food safety regulations. Reviva accepts no liability for any allergen incident arising from food prepared or supplied by a third-party caterer.

18. Force Majeure

Reviva is not responsible for any failure to perform its obligations caused by events outside its reasonable control, including but not limited to: extreme weather, natural disaster, fire, flood, earthquake, epidemic or pandemic, government restrictions, strikes, civil unrest, war, acts of terrorism, or failure of utilities or infrastructure.

In such circumstances, Reviva will use reasonable endeavours to notify the Host as soon as practicable and to offer alternative arrangements where possible.

18. Changes to These Conditions

Reviva may update these Booking Conditions from time to time. The conditions in force at the time of written booking confirmation will apply to that booking. Updated conditions will apply to all new bookings from the date of publication.

19. Gratuities

Gratuities for the Reviva house team are entirely voluntary and are not included in the Total Booking Value. They do not form part of any contractual obligation under these conditions. Where a Host or their Participants wish to leave a gratuity, Reviva suggests 5% of the Total Booking Value as a guide. All gratuities received go directly to the house team.

20. Governing Law and Disputes

These conditions and any dispute arising from them shall be governed by Spanish law. In the event of any dispute, the parties will attempt to resolve the matter in good faith before initiating formal proceedings.

21. Complaints

Any complaints regarding the booking or the property should be submitted in writing to info@invest-reviva.com.  Reviva will acknowledge receipt within 3 working days and endeavour to resolve the matter as quickly as practicable.
